Article 1 - Scope and contractual documents

These terms of sale ("Terms") govern the services of Clevoxa LLC ("Clevoxa") intended for businesses, self-employed professionals and other clients acting for their business purposes in Canada ("Client"), particularly in Quebec. They do not cover the French offer, which has separate terms of sale.

The contract includes the accepted offer or quote, these Terms and any written project-specific agreements. Expressly accepted special terms prevail in the event of a discrepancy. The terms of use supplement the contract for access to the website and tools; these Terms take precedence over them for sales conditions in Canada.

These services are offered for business purposes. The actual status of the Client and transaction determines the applicable rules: no statement or clause deprives a person of mandatory protections to which they are entitled, particularly consumer protections.

Article 2 - Services and offer scope

Clevoxa provides the services described in the accepted offer: website design, domain name, hosting, maintenance, minor changes, enquiry tracking tools, client reviews, automations, SEO or marketing, depending on the selected plan. The number of pages, features, deliverables and exclusions are specified before ordering.

The Business Website, Professional Website and Customer Acquisition Strategy plans include the items listed on the pricing page and in the order confirmation. Dashboards, alerts, SMS conversations and automations are included only when listed in the subscribed offer.

Advertising budgets, messaging fees, paid third-party services, new pages, features, advanced integrations, redesigns and out-of-scope work are excluded unless expressly stated otherwise. Any extra must be accompanied by information on its price or calculation method and the Client's agreement before being delivered or activated.

Article 3 - Orders and acceptance

Before committing, the Client receives or can review the scope, price, currency, initial fees, applicable taxes, payment terms, duration, renewal and cancellation conditions. Clarification may be requested at contact@clevoxa.com.

The order is concluded through acceptance of the offer and Terms, followed by the required payment or Clevoxa's written confirmation under the agreed process. Simply visiting the website does not constitute acceptance of a subscription. Confirmation, the accepted terms and billing documents are sent to the Client in a form they can retain.

The Client provides accurate billing information and designates a person authorised to approve the project. Clevoxa may refuse an unlawful request or one technically incompatible with its services before the contract is concluded.

Article 4 - Prices, currency and taxes

Business Website: $1,497 in one-time design and setup fees, plus $49 per month for hosting. Includes a mobile-friendly professional website, contact form, SEO basics, domain and security, and one update request per month of up to 15 minutes. Automated lead follow-up is not included.

Professional Website: $1,497 in one-time design and setup fees, plus $297 per month for the lead management system, CRM access and hosting. Includes the website, centralised leads, alerts, automatic follow-ups, missed-call text replies, Google review requests, domain, security, personal support and up to eight update requests per month, totalling two hours.

Customer Acquisition Strategy: from $1,297 per month. Includes Meta campaign strategy and management, static advertising visuals, ad copy, testing and optimisation, a lead form or simple landing page, CRM, email and SMS follow-ups, and appointment booking and tracking. The final scope is specified in the accepted offer.

Canadian prices are expressed in the currency displayed for your region, unless another currency is explicitly agreed. The contractual amount is the amount presented and accepted when ordering, including any promotion or customised offer. A later change to the pricing page does not retroactively change an order.

GST, HST, QST or any other legally applicable tax is shown separately, where it must be collected, in the summary before payment and on the invoice. The total payable is disclosed before confirmation. These Terms do not presume any particular tax exemption or registration status for Clevoxa or the Client.

Custom projects and additional services are covered by an accepted quote. No paid additional service is imposed without the Client's agreement.

Article 5 - Payment and renewal

Setup and creation fees are one-time fees, separate from the monthly payment, for the initial work included in the offer. They are not charged on each monthly renewal. Their payment terms and due dates are specified in the accepted offer; any instalment arrangement does not make them recurring fees. The new amounts displayed as of October 15, 2026 apply to new orders accepted from that date, unless a specific offer is expressly accepted. Orders already concluded retain their agreed pricing terms, in accordance with Articles 4 and 19.

Initial fees, any deposits and due dates are specified in the accepted offer. For a subscription, the billing start date is disclosed before ordering; it may precede publication if expressly agreed. The Client receives the frequency and date or calculation rule for subsequent payments.

When recurring payment is selected, the Client authorises charges for the accepted amount and frequency. Monthly subscriptions renew from month to month until cancelled. No minimum term applies to standard monthly plans unless a special condition is clearly presented and expressly accepted.

Online payments are processed by Stripe or the secure provider identified at checkout. Clevoxa does not receive the complete card details entered into its secure interface. The Client maintains a valid payment method and may obtain invoices from Clevoxa.

Article 6 - Getting started, timelines and collaboration

Getting started requires the requested information and content: business activity, contact details, services, service areas, logo, photos, authorised access and preferences. The Client warrants that they hold the necessary rights and consents for materials supplied.

The timeline stated in the offer runs from the starting point specified there, including receipt of a complete file where required. Clevoxa informs the Client of missing items and foreseeable delays. A delay in supplying materials or approving work may lead to a reasonable schedule adjustment communicated to the Client.

A delivery or deadline guarantee applies only if expressly included in the offer; its conditions and remedy are those agreed. No specific deadline from the French offer is automatically applied to Canadian offers.

Article 7 - Approval and publication

Clevoxa presents deliverables for approval. The Client checks the contact details, content, prices, images and agreed features and provides consolidated feedback. Clevoxa handles corrections needed to bring the deliverable into conformity with the accepted scope.

A scope change is distinguished from a conformity correction and is estimated where necessary. The Client's silence does not automatically constitute final acceptance. Publication occurs after the Client's agreement or under an expressly agreed approval process.

Article 8 - Monthly changes and maintenance

Business Website includes one request of up to 15 minutes per monthly cycle. Professional Website includes up to eight requests and two hours in total. Both limits apply. A request groups related minor adjustments submitted together. Unused allowances expire and cannot be accumulated, transferred or exchanged for a discount.

New pages, redesigns, features, integrations, automations, substantial copywriting and SEO work require a separate agreement. Corrections attributable to Clevoxa and normal technical maintenance are not deducted from the allowance.

Article 9 - Domain name, hosting and third-party services

Where provided in the offer, the domain, hosting and SSL certificate are included during the subscription, within the limits specified when ordering. The domain intended for the Client belongs to them; Clevoxa may manage it technically on their behalf. A specific extension, premium domain or paid third-party service requires prior agreement on fees.

Clevoxa takes reasonable security, maintenance and backup measures appropriate to the service. Absolute availability or prevention of every incident cannot be guaranteed. Planned interruptions are announced where reasonably possible.

Services from Google, Meta, Stripe, messaging operators and other suppliers also depend on their own rules and availability. Clevoxa remains responsible for its own commitments and informs the Client of an issue materially affecting delivery.

Article 10 - Website and content ownership

The Client retains their rights to their content, trademarks, photos, data and domain name. After payment of amounts due for the agreed work, the website and design elements created specifically for the Client belong to them in accordance with the offer. Clevoxa grants or transfers the rights necessary for their use in that context.

Software, libraries, fonts, licensed images, platforms and pre-existing tools remain subject to their owners' rights. Their use does not transfer ownership. Any dependency that may materially restrict website export must be disclosed before ordering.

The Client authorises Clevoxa to use their materials only to deliver and maintain the agreed services. Promotional use of confidential content or personal information requires appropriate authorisation.

Article 11 - Subscription cancellation

The Client may request that renewal stop at any time by writing to contact@clevoxa.com or using the management facility provided. Clevoxa confirms receipt and the effective date. A request received before the next due date prevents that charge; the Client may retain the service until the end of the paid period.

The Client may also request immediate termination. The financial consequences are calculated in accordance with Article 12 below and applicable rules, including Articles 2125 and 2129 of the Civil Code of Quebec where they govern the contract. These Terms impose no general waiver of the right to terminate.

No exit fee or recovery of creation costs not provided for when ordering is added. Services actually performed and authorised extras remain payable under the contract and law. Hosting, maintenance and automations cease on the effective date, subject to transfer arrangements.

Article 12 - Cancellation, refunds and early project termination

Payments are allocated to the agreed services. In the event of early termination, Clevoxa prepares a statement accounting for services provided, work performed and eligible, justified expenses under the contract and law. Any advance exceeding amounts actually due is refunded. Creation fees are not automatically declared fully non-refundable regardless of the work performed.

If the Client chooses to retain access to services until the end of the paid monthly cycle, the monthly payment covers that service period. If they request immediate termination, the statement is calculated under applicable rules rather than through a general exclusion of refunds.

In the event of non-performance attributable to Clevoxa, the Client retains their rights to performance, termination, restitution and other remedies provided by law. Any more favourable commercial guarantee expressly stated in the offer remains applicable. Mandatory consumer protections, where actually applicable, are reserved.

Article 13 - Transfer and data retrieval

The Client may request transfer of their domain and delivery of their website, content and data belonging to them. Clevoxa coordinates access, exports and available materials with the Client in a usable format, taking account of the agreed tools and third-party rights.

Migration, rebuilding on another platform or reconfiguring third-party services is included only where provided in the offer; additional assistance is quoted separately. These limits do not affect ownership of materials belonging to the Client.

The Client is encouraged to request retrieval before hosting ends. Clevoxa communicates the arrangements and available timeframe before any planned deletion of project data, subject to legal retention obligations and technical backups.

Article 14 - Client obligations

The Client is responsible for their business, the accuracy of their offers, rights to their content and notices and consents required for their website. They protect their credentials, inform Clevoxa of compromised access and provide the necessary authorisations for technical work.

The Client does not use the services for unlawful, misleading or fraudulent activities or activities infringing others' rights. Clevoxa may refuse clearly unlawful content and propose adjustments needed for compliant use.

Article 15 - Client reviews, email and SMS

Review request and follow-up tools must be used with valid contacts and consents. Commercial electronic messages are subject, where applicable, to Canada's Anti-Spam Legislation: required consent or another lawful basis, sender identification and a working unsubscribe mechanism. The Client provides information documenting the basis for their campaigns; Clevoxa complies with the obligations applicable to it in their execution.

Withdrawals of consent must be respected. For SMS, the proposed mechanism includes a STOP reply where supported. Sending fees and usage limits are specified before activation. No fictitious review may be published or requested.

Article 16 - Personal information and confidentiality

Clevoxa processes personal information in accordance with its privacy policy and applicable laws, including Quebec's private-sector personal information protection rules where relevant. The Client remains responsible for the purposes and lawfulness of the data they collect; Clevoxa complies with its obligations for processing performed as part of the service.

The parties restrict access to authorised persons and protect confidential information. Where the project requires it, an agreement specifies processing instructions, suppliers, security measures, incidents, retention periods and return or deletion arrangements. Transfers outside Quebec are governed by applicable requirements.

Article 17 - Results and liability

Clevoxa performs its services prudently and diligently and in accordance with the accepted scope. No specific Google ranking, lead or review count, revenue, conversion rate or advertising result is guaranteed unless separately and expressly committed to.

To the extent permitted by law, Clevoxa's liability for proven direct damage is limited to amounts paid for the affected service during the twelve months preceding the event giving rise to the claim, including creation fees for that service paid during that period. Indirect losses are excluded only to the extent that such exclusion is legally permitted.

These limits do not apply to material injury caused by intentional or gross fault, bodily or moral injury, or any liability or protection that the law prohibits excluding or limiting. They do not release Clevoxa from performing its commitments or returning an improperly collected amount.

Article 18 - Late payments, suspension and force majeure

If a payment is unpaid when due or a charge fails, Clevoxa sends the Client an initial written notice by email granting a grace period of fourteen (14) calendar days from that notice to settle the payment or update their payment method. Reminders may be sent during this period. Payment retries and reminders do not shorten this period.

No suspension for this late payment may occur before the grace period expires; suspension may occur at the earliest on the fifteenth (15th) day after the initial notice. Before any suspension, Clevoxa checks that the payment remains outstanding and takes account of any expressly accepted payment arrangement. Only the affected services may be temporarily suspended, within the limits permitted by law. Suspension does not release the Client from amounts due and does not, by itself, result in deletion of their account or data. Once payment is settled, Clevoxa checks restoration of any suspended services.

No French €40 fixed charge or French penalty rate applies to these Terms; any fees or interest must be expressly agreed and permitted by law.

Clevoxa may terminate the contract for a serious reason in accordance with applicable rules, giving appropriate notice and limiting harm to the Client. Advances for services not provided are handled under Article 12.

A force majeure event within the meaning of applicable law may suspend the obligations it prevents. The affected party informs the other, takes reasonable measures to limit its effects and discusses continuation or termination of the service if the impediment persists. A mere difficulty in performance does not automatically constitute force majeure.

Article 19 - Changes to the terms and contract language

The version accepted when ordering applies to the contract. A new version published on the website does not retroactively change existing orders. Any change to the price, scope or another essential term of an existing contract is proposed in writing before taking effect and requires the agreement required by the contract and law; no retroactive increase is imposed.

These Terms and contractual documents intended for Quebec are available in French. Another language may be used where applicable legal requirements, particularly those of the Charter of the French Language, are met.

Article 20 - Complaints and governing law

Any question, cancellation request or complaint may be sent to contact@clevoxa.com or by calling 819-717-3800. The parties seek an amicable solution in good faith, without preventing exercise of a remedy or an urgent measure.

The contract is governed by Quebec law and the Canadian federal laws applicable there. The competent Quebec courts may hear disputes, subject to mandatory jurisdiction rules and protections applicable in the Client's province. Choosing Quebec law does not remove mandatory rights enjoyed by a Client elsewhere in Canada.
