Article 1 - Scope

These terms of sale ("Terms") exclusively govern the subscription to and delivery of the selected Clevoxa plan provided by Clevoxa LLC ("Clevoxa") to its business clients ("Client"). This offer is reserved for tradespeople, businesses, companies, sole proprietors, independent professionals and, more generally, anyone acting in the course of their business activities.

By placing an order, the Client certifies that they are acting exclusively for their business purposes and not as a consumer. Confirming an order constitutes full and unconditional acceptance of these Terms, which the Client acknowledges having read before payment.

Article 2 - Offer description

Professional Website: $1,497 in one-time design and setup fees, plus $297 per month for the lead management system, CRM access and hosting. Customer Acquisition Strategy: from $1,297 per month. Includes Meta campaign strategy and management, static advertising visuals, ad copy, testing and optimisation, a lead form or simple landing page, CRM, email and SMS follow-ups, and appointment booking and tracking. The final scope is specified in the accepted offer.

Advertising spend, paid third-party services and SMS sending fees are not included unless expressly agreed. Page counts, deliverables and any additional services are specified in the accepted offer.

Article 3 - Orders

Orders are placed through the secure checkout provided by Clevoxa. The Client undertakes to provide accurate, complete and up-to-date information, particularly regarding their business identity, contact details and the information required for billing.

The order becomes binding after acceptance of these Terms and confirmation of the initial payment specified in the selected offer. For Business Website and Professional Website, design and setup fees are separate from the monthly subscription.

Clevoxa reserves the right to refuse, suspend or cancel an order connected to activities that are unlawful, fraudulent, misleading, contrary to public policy or incompatible with the nature of its services. The financial consequences of such a decision are assessed in light of its grounds, the project's progress, Article 14 and any applicable mandatory provisions.

Article 4 - Pricing

Business Website: $1,497 in one-time design and setup fees, plus $49 per month for hosting. Includes a mobile-friendly professional website, contact form, SEO basics, domain and security, and one update request per month of up to 15 minutes. Automated lead follow-up is not included.

Professional Website: $1,497 in one-time design and setup fees, plus $297 per month for the lead management system, CRM access and hosting. Includes the website, centralised leads, alerts, automatic follow-ups, missed-call text replies, Google review requests, domain, security, personal support and up to eight update requests per month, totalling two hours.

The applicable currency is specified before ordering. One-time design and setup fees are separate from the monthly subscription and are not charged again at renewal. The initial payment and any agreed instalments are shown before checkout. Applicable taxes are specified before payment and on the invoice according to the Client’s status and location. New prices apply to new orders; existing orders retain their agreed terms.

Article 5 - Payment and monthly renewal

Stripe processes payments securely. By confirming the order, the Client authorises the initial payment disclosed at checkout and the recurring monthly amount for the selected plan: $49 for Business Website, $297 for Professional Website, or the accepted amount starting at $1,297 for Customer Acquisition Strategy.

The subscription starts upon confirmation of the initial payment and covers project initiation and preparation of the included services. Subsequent payments fall due monthly on the anniversary date or the last day of a shorter month. The subscription renews monthly, without a minimum term, until cancelled under Article 12. The Client must maintain a valid payment method.

Article 6 - Onboarding form

After order confirmation, the Client completes the onboarding form and provides the information and content required for the project: business identity, contact details, services, service areas, logo, photos, copy, preferences and legal notices.

The Client warrants that they hold all rights, licences, permissions and consents required to use and publish the copy, photographs, logos, trademarks, testimonials and other content supplied to Clevoxa. The Client remains responsible for the lawfulness, accuracy and currency of these materials.

Article 7 - Presentation deadline

Clevoxa presents a first version of the website within seven business days of receiving all required information and content.

This period begins once the complete file is received. If it is exceeded for a reason directly attributable to Clevoxa, a credit equal to the monthly payment of the subscribed website plan is applied to the next payment.

This deadline guarantee does not apply when the delay results from the Client, missing content or access, a change to the initial scope, a third-party supplier or a force majeure event as defined in Article 19.

Article 8 - Approval and revisions

The website is never published before the Client’s approval. Clevoxa makes reasonable adjustments within the agreed scope. Following approval and payment of amounts due under the accepted offer, the website goes live.

A redesign, a substantial new page, a new feature or any request materially changing the agreed scope may be billed separately after a quote is presented and accepted. The Client is responsible for carefully checking their contact details, prices, copy, services, legal notices and all other information before authorising publication.

Article 9 - Monthly changes

Business Website includes one update request per month of up to 15 minutes. Professional Website includes up to eight update requests per month, totalling two hours. Both the request count and time limit apply. Unused allowances do not carry forward.

These allowances cover minor changes to existing copy, images and contact information. New pages, redesigns, new features, integrations and custom development require a separate agreement. Customer Acquisition Strategy deliverables are defined in its accepted offer.

Article 10 - Domain and hosting

The website's domain name, hosting and SSL certificate are provided and maintained throughout the subscription. The domain belongs to the Client once all amounts due have been paid in full.

Clevoxa may use third-party suppliers for domain registration, hosting, security, email or other technical services. An interruption or failure originating with a third-party supplier does not automatically constitute a fault by Clevoxa, which nevertheless remains required to make reasonable efforts to facilitate service restoration.

Article 11 - Intellectual property

The Client retains ownership of pre-existing content. Once amounts due for the agreed work are paid, the Client acquires rights to the design created specifically for their website, subject to third-party rights and reusable components. Cancellation does not remove acquired rights; transfer remains subject to the technical possibilities in Article 13.

Clevoxa's tools, methods, know-how, internal templates, libraries, reusable components, software, CRM systems, automations and proprietary technologies are not transferred. Unless the Client objects in writing, Clevoxa may display a screenshot or brief description of the website in its portfolio and business communications without disclosing confidential information.

Article 12 - Cancellation

The selected Clevoxa subscription begins upon confirmation of the initial payment when ordering and is entered into with no minimum commitment period. The Client may request cancellation at any time, including during the first month, by writing to contact@clevoxa.com. A request received before renewal takes effect at the end of the monthly period already paid and prevents the next period from being charged. No thirty-day notice or multi-month commitment is required.

No cancellation fee, recovery of creation costs or outstanding creation balance is charged. Monthly payments already due and expressly accepted additional services remain payable. No monthly period already started is refunded pro rata, subject to Article 14 and applicable mandatory provisions.

On the effective cancellation date, hosting, changes, the review request system, follow-ups and included automations may cease. The Client is responsible for arranging, before that date, any feasible transfer request under the conditions in Article 13.

Article 13 - Transfer after cancellation

Once all amounts due have been paid, the domain and content belonging to the Client may be transferred. On request, Clevoxa provides available materials that can technically be exported from the platform used.

The transfer does not include migration, adaptation, rebuilding the website on another platform, reproduction of proprietary tools or reconfiguration of third-party services. Additional transfer or migration assistance may be quoted separately. Clevoxa does not guarantee that an element which cannot be exported or is inseparable from the platform can be transferred in an identical format.

Article 14 - Cancellation and refunds

The initial payment may include one-time design and setup fees and the first monthly payment, according to the accepted summary. If the project ends early, a statement accounts for services performed and amounts actually due. Any excess is refunded, subject to applicable mandatory provisions.

The Client may stop renewal under Article 12, even before publication. Expressly agreed initial fees remain subject to the statement of work performed; no additional cancellation fee is added.

If Clevoxa permanently ends the project before presenting a first version for a reason directly attributable to it and without a Client breach, amounts collected for undelivered services are refunded and future charges stop. The Client’s mandatory rights and remedies remain reserved.

Article 15 - Client obligations

The Client undertakes to provide accurate and complete information, respond to Clevoxa's requests within a reasonable time, hold the necessary rights to all supplied content and check the website before publication. The Client must also maintain a valid payment method, comply with laws and regulations applicable to their business and provide the information, legal notices and policies required on their website.

The Client remains responsible for their business, offers, professional, tax and regulatory obligations, and their use of the website and tools provided.

Article 16 - No guarantee of results

Clevoxa is subject to an obligation of reasonable efforts. It applies the skills and care reasonably expected to design, host and support the setup included in the selected Clevoxa plan.

No ranking on Google or another search engine, lead count, revenue, visitor volume, conversion rate, review count, advertising result or other specific business performance is guaranteed. Results depend in particular on the market, the Client's offer, responsiveness and reputation, competition and technical or economic factors beyond Clevoxa's control.

Article 17 - Late payments

If a payment is unpaid when due or a charge fails, Clevoxa sends the Client an initial written notice by email granting a grace period of fourteen (14) calendar days from that notice to settle the payment or update their payment method. Reminders may be sent during this period. Payment retries and reminders do not shorten this period.

No suspension for this late payment may occur before the grace period expires; suspension may occur at the earliest on the fifteenth (15th) day after the initial notice. Before any suspension, Clevoxa checks that the payment remains outstanding and takes account of any expressly accepted payment arrangement. Only the affected services may be temporarily suspended, within the limits permitted by law. Suspension does not release the Client from amounts due and does not, by itself, result in deletion of their account or data. Once payment is settled, Clevoxa checks restoration of any suspended services.

Where French commercial law applies to the debt, any amount unpaid when due incurs late payment penalties from the following day, without a reminder being required, calculated at the rate applied by the European Central Bank to its most recent refinancing operation plus ten percentage points. This rate may never be lower than three times the statutory interest rate.

In the same circumstances, the business Client is also automatically liable for a fixed charge of €40 for recovery costs. Where actual recovery costs exceed this amount, Clevoxa may request additional compensation upon supporting evidence, within the limits permitted by law. These charges are not claimed where insolvency proceedings legally prohibit payment of the debt when due.

Article 18 - Liability

To the extent permitted by law, Clevoxa is not liable for indirect or intangible losses, including lost revenue, margin, customers, leads, data or business opportunities. It cannot be held liable for damage arising from the Client's content, instructions or omissions, improper use of the website, access entrusted to a third party or a failure directly attributable to a third-party supplier beyond its reasonable control.

Subject to liabilities that cannot legally be excluded or limited, Clevoxa's potential liability for proven direct damage is limited to the total amount actually paid by the Client for the selected Clevoxa plan during the twelve months preceding the event giving rise to the claim. This limitation does not apply to intentional or gross fault, bodily injury or any other situation where the law prohibits such a limitation.

Article 19 - Force majeure

Neither party is liable for delay or non-performance resulting from an event reasonably beyond its control and impossible to avoid despite appropriate measures. Such events may include a major outage, cyberattack, unavailability of an essential supplier, natural disaster, fire, armed conflict, government decision or general interruption of telecommunications or energy networks.

The affected party informs the other within a reasonable time and makes its best efforts to limit the event's effects. The affected obligations are suspended for the duration of the impediment, without prejudice to amounts already due.

Article 20 - Personal data

Clevoxa processes personal information in accordance with its Privacy policy. The Client undertakes to comply with rules applicable to data collected or processed through their website and, where necessary, to provide their own privacy notices and consent mechanisms.

Stripe processes data required for payment under its own terms and policies. Clevoxa does not receive complete payment card information entered into Stripe's secure interface.

Article 21 - Changes to these Terms

The version of the Terms applicable to an order is the version accepted by the Client when placing that order. New versions apply to new orders from their effective date.

When a material change may affect an existing subscription, Clevoxa informs the Client by appropriate means before it takes effect, subject to changes immediately required by law, security or an essential supplier.

Article 22 - Complaints, governing law and disputes

Any complaint must be sent to contact@clevoxa.com with enough information to understand the issue. Before initiating proceedings, the parties undertake to attempt a good-faith amicable resolution and allow a reasonable discussion period, generally thirty days from receipt of a sufficiently documented complaint.

These Terms are governed by the laws applicable in the province of Quebec and the Canadian federal laws applicable there, without regard to conflict-of-law rules. Any dispute that cannot be resolved amicably falls within the jurisdiction of the competent Quebec courts, subject to any mandatory provisions applicable to the business Client, particularly due to their location or the nature of the contractual relationship.
